TERMS AND CONDITIONS

Welcome to Vardhman Saathi ("App", "Platform", "Service"), operated by Vardhman Electricals ("Company", "we", "our", "us").

These Terms and Conditions ("Terms") govern your access to and use of the App. By registering, signing in, accessing, browsing, or using the App, you acknowledge that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use the App.


1. ABOUT THE APP

Vardhman Saathi is a sales engagement, rewards, communication, and incentive platform operated by Vardhman Electricals.

The App allows approved users to:

  • Register and access accounts using Google Sign-In.
  • Submit invoice numbers and optional bill images for verification.
  • Participate in sales-related reward programs.
  • Earn virtual reward points known as V-Coins.
  • View sponsor information, sales targets, and associated V-Coin opportunities.
  • Redeem rewards using V-Coins.
  • Receive broadcasts, announcements, updates, meeting notices, and other communications.
  • The App does not provide banking services, financial services, investment opportunities, employment contracts, wages, salaries, commissions, or cash rewards.


    2. ELIGIBILITY

    To use the App, users must:

  • Be at least 18 years of age.
  • Possess a valid Google account.
  • Provide accurate registration information.
  • Provide a valid mobile number.
  • Obtain approval from the Company.
  • The Company reserves the right to verify eligibility at any time.


    3. ACCOUNT REGISTRATION AND APPROVAL

    Access to the App requires authentication using Google Sign-In.

    During registration, the Company may receive information from Google, including:

  • Name
  • Email Address
  • Profile Picture
  • Authentication identifiers
  • Users are also required to provide a mobile number.

    Registration does not guarantee access.

    All registration requests are subject to review and approval by the Company.

    The Company may approve, reject, suspend, restrict, disable, or terminate accounts at its sole discretion and without obligation to provide a reason.


    4. ADMINISTRATIVE SYSTEMS AND SERVICE INFRASTRUCTURE

    The Company may operate, maintain, review, process, and administer the Service through various technologies and systems, including:

  • Mobile applications
  • Administrative desktop applications
  • Cloud servers
  • Databases
  • Storage systems
  • Verification systems
  • Communication systems
  • Local administrative devices
  • Users acknowledge that information submitted through the App may be reviewed, processed, verified, approved, rejected, modified, synchronized, stored, or managed through authorized administrative systems operated by the Company.

    The Company reserves the right to use such systems for operational, security, verification, fraud prevention, compliance, auditing, support, business administration, and reward management purposes.


    5. ACCOUNT INFORMATION

    Users are responsible for ensuring that all information associated with their account is accurate.

    Users may not be able to directly edit account information through the App.

    Requests for corrections or updates must be submitted through the support channels provided by the Company.

    The Company reserves the right to approve, reject, verify, modify, or decline such requests.


    6. ACCOUNT SECURITY

    Users are responsible for:

  • Maintaining the security of their Google account.
  • Protecting their devices.
  • Preventing unauthorized access to their account.
  • The Company shall not be responsible for losses resulting from unauthorized access caused by user negligence, compromised devices, compromised Google accounts, or circumstances beyond the Company's reasonable control.


    7. SALES SUBMISSIONS

    Users may submit:

  • Invoice Numbers
  • Optional Bill Images
  • Submission of an invoice number or bill image does not guarantee approval, verification, reward eligibility, V-Coin allocation, or redemption rights.

    All submissions are subject to review, verification, approval, rejection, modification, adjustment, or cancellation by the Company.

    The Company's decisions regarding verification and approval shall be final.

    The Company may request additional information where necessary.


    8. V-COINS

    Nature of V-Coins

    V-Coins are virtual promotional reward points.

    V-Coins:

  • Are not money.
  • Are not legal tender.
  • Are not cryptocurrency.
  • Have no cash value.
  • Cannot be redeemed for cash.
  • Do not constitute wages, salary, commission, investment value, or financial instruments.
  • Users acknowledge that V-Coins exist solely within the Company's reward ecosystem.

    Awarding of V-Coins

    V-Coins may be awarded based on:

  • Approved invoice submissions
  • Sales achievements
  • Promotional activities
  • Business rules determined by the Company
  • The Company reserves the right to modify V-Coin calculations, earning opportunities, eligibility requirements, reward structures, and related programs at any time.

    Adjustments

    The Company may recalculate balances, correct errors, remove improperly awarded V-Coins, or revoke V-Coins obtained through fraud, abuse, technical errors, or policy violations.


    9. SPONSOR INFORMATION AND SALES TARGETS

    The App may display sponsor-related information, including:

  • Sponsor names
  • Logos
  • Images
  • Sales targets
  • Associated V-Coin rewards
  • Such information is provided for informational and promotional purposes only.

    Users are not required or compelled to promote any sponsor, product, brand, or sales target.

    The Company may add, modify, replace, remove, suspend, or discontinue sponsor information, sales targets, reward opportunities, or promotional programs at any time.

    Nothing displayed in the App constitutes a guarantee of future rewards, earnings, opportunities, or redemption rights.


    10. REWARD REDEMPTION

    Rewards displayed in the App are subject to:

  • Availability
  • Inventory levels
  • Business requirements
  • Administrative review
  • Verification processes
  • Users may submit redemption requests using available V-Coins.

    Submission of a redemption request does not guarantee approval.

    All redemption requests are subject to manual review by the Company.

    The Company may approve, reject, delay, modify, substitute, suspend, or cancel any redemption request at its sole discretion.


    11. REWARD COLLECTION

    Approved rewards may require collection from a location designated by the Company.

    Users are responsible for collecting rewards within the time period specified by the Company.

    Failure to collect rewards may result in cancellation of the redemption request.

    The Company is not responsible for travel costs, transportation expenses, delays, missed collection opportunities, or inconveniences associated with reward collection.


    12. REWARD FULFILLMENT PHOTOGRAPHS

    The Company may take photographs during reward fulfillment for verification, operational, promotional, auditing, record-keeping, or business purposes.

    Users may be offered the option to:

  • Appear in reward photographs.
  • Decline personal appearance and permit only product photographs.
  • Users acknowledge that reward-related photographs may be:

  • Stored permanently.
  • Used internally.
  • Included in broadcasts.
  • Included in announcements.
  • Used within Company-operated communications.
  • The Company reserves the right to retain fulfillment records for verification, auditing, operational, legal, security, and business purposes.


    13. BROADCASTS, ANNOUNCEMENTS, AND COMMUNICATIONS

    The Company may publish:

  • Broadcast messages
  • Announcements
  • Reward information
  • Meeting notices
  • Promotional content
  • Campaign updates
  • Business communications
  • Users consent to receiving:

  • Push notifications
  • In-App notifications
  • Broadcast messages
  • Emails
  • Operational communications
  • Account-related notices
  • Policy updates
  • The Company reserves the right to determine the content, frequency, timing, and recipients of such communications.

    The Company is not responsible for delayed, blocked, filtered, missed, or undelivered communications.


    14. USER CONTENT

    Users are solely responsible for all content submitted through the App, including:

  • Invoice numbers
  • Bill images
  • Uploaded content
  • Communications
  • Users must not upload content that:

  • Is false or fraudulent.
  • Is unlawful.
  • Is obscene or pornographic.
  • Violates intellectual property rights.
  • Violates privacy rights.
  • Contains malware or harmful code.
  • Interferes with normal operation of the App.
  • The Company may review, remove, restrict, retain, investigate, disclose, or report content where deemed necessary.


    15. PROHIBITED ACTIVITIES

    Users shall not:

  • Submit fraudulent information.
  • Manipulate reward calculations.
  • Attempt unauthorized access.
  • Reverse engineer the App.
  • Use automated tools.
  • Upload inappropriate content.
  • Impersonate others.
  • Abuse support systems.
  • Interfere with Service operations.
  • Violations may result in suspension, deletion, legal action, reporting to authorities, or other remedies available under applicable law.


    16. ACCOUNT SUSPENSION AND TERMINATION

    The Company may suspend, restrict, disable, terminate, or delete accounts at any time for reasons including:

  • Policy violations
  • Fraud
  • Security concerns
  • Misconduct
  • Business requirements
  • Operational reasons
  • The Company is not obligated to provide prior notice.

    Upon termination:

  • Access rights cease immediately.
  • V-Coins may be forfeited.
  • Pending requests may be cancelled.
  • Future participation may be restricted.

  • 17. COMPANY RECORDS

    Users acknowledge that Company records, administrative records, server records, approval records, redemption records, verification records, reward records, and system logs shall be considered authoritative in the event of any dispute.

    The Company's determinations regarding approvals, rejections, V-Coin allocations, redemption requests, and administrative decisions shall be final, subject to applicable law.


    18. INTELLECTUAL PROPERTY

    All rights relating to the App, including:

  • Software
  • Databases
  • Designs
  • Graphics
  • Logos
  • Branding
  • Reward systems
  • V-Coin systems
  • Content
  • remain the exclusive property of Vardhman Electricals.

    No ownership rights are granted to users.


    19. THIRD-PARTY SERVICES

    The App may utilize third-party services, including but not limited to:

  • Google
  • Google Sign-In
  • Google Drive
  • Supabase
  • PostgreSQL
  • Render
  • Notification providers
  • Hosting providers
  • The Company is not responsible for the availability, performance, security, or privacy practices of third-party providers.


    20. DISCLAIMER OF WARRANTIES

    The App is provided on an "AS IS" and "AS AVAILABLE" basis.

    To the maximum extent permitted by law, the Company makes no guarantees regarding:

  • Availability
  • Reliability
  • Security
  • Accuracy
  • Reward eligibility
  • Redemption approval
  • V-Coin balances
  • Continuous operation
  • Users assume all risks associated with use of the App.


    21. LIMITATION OF LIABILITY

    To the maximum extent permitted by applicable law, Vardhman Electricals, its owners, employees, representatives, affiliates, contractors, and agents shall not be liable for:

  • Indirect damages
  • Consequential damages
  • Data loss
  • Lost opportunities
  • Lost rewards
  • Service interruptions
  • Technical failures
  • Unauthorized access
  • Third-party service failures
  • Inventory shortages
  • Redemption disputes
  • Nothing in these Terms excludes liability where such exclusion is prohibited by law.


    22. INDEMNIFICATION

    Users agree to indemnify and hold harmless Vardhman Electricals, its employees, representatives, affiliates, contractors, and owners from claims, losses, liabilities, damages, costs, and expenses arising from:

  • User misconduct
  • Fraudulent submissions
  • Policy violations
  • Illegal activities
  • Breach of these Terms

  • 23. MODIFICATIONS TO THE SERVICE

    The Company may modify, suspend, replace, discontinue, remove, or restrict any feature of the App at any time without liability.

    This includes:

  • V-Coins
  • Reward programs
  • Sponsor information
  • Broadcast systems
  • Meeting systems
  • Redemption features
  • Account features

  • 24. CHANGES TO THESE TERMS

    The Company may revise these Terms at any time.

    Users may be notified through:

  • Email
  • Push notifications
  • Broadcast messages
  • In-App notices
  • Other communication methods
  • Continued use of the App after updates constitutes acceptance of the revised Terms.


    25. GOVERNING LAW

    These Terms shall be governed by and interpreted in accordance with the laws of India.

    Any disputes arising from or relating to these Terms or the App shall be subject to the exclusive jurisdiction of the courts located in Delhi, India.

    27. ACCEPTANCE

    By registering, signing in, submitting information, redeeming rewards, receiving communications, or otherwise using Vardhman Saathi, users acknowledge that they have read, understood, and agreed to these Terms and Conditions.
